Terms of Membership and Membership Agreement

The following is the Membership Agreement between Crown Holidays/Imperial 
Holidays ("We and Us") and the person whose name appears on the Membership 
card included with this Membership package ("You"). ALL PERSONS SUBSCRIBING 
AGREE TO BE BOUND BY THESE TERMS OF MEMBERSHIP AND ARE URGED TO READ THEM 
CAREFULLY. If you have any questions about your Membership, you may contact a 
representative at the number listed in the Membership Guide.

Membership Benefits: UNLESS YOU NOTIFY US THAT YOU WISH TO TERMINATE THIS 
AGREEMENT AND CANCEL YOUR MEMBERSHIP BY FOLLOWING THE INSTRUCTIONS BELOW, 
YOUR MEMBERSHIP WILL BE AUTOMATICALLY RENEWED AT THE END OF EACH TERM FOR AN 
ADDITIONAL PERIOD OF TWELVE MONTHS ("RENEWAL TERM") AND YOU WILL BE BILLED 
FOR EACH RENEWAL TERM AT THE THEN CURRENT ENROLLMENT FEE. THIS IS KNOWN AS A 
"NEGATIVE OPTION MEMBERSHIP PLAN". WE RESERVE THE RIGHT TO INCREASE OR 
DECREASE THE ENROLLMENT FEE FOR ANY RENEWAL TERM, WHICH WILL BE EFFECTIVE 
UPON RENEWAL OF YOUR MEMBERSHIP.

Payment of Enrollment Fee: The monthly or annual membership fee will be the 
amount to which Member agreed at the time of his or her enrollment (the 
"Enrollment Fee"). The payment of your Enrollment Fee for the initial term is 
made automatically by a charge to the credit card or other billing vehicle 
(utility bill, mortgage bill, or charge account, each a "Billing Vehicle") 
authorized by You. Payment for each renewal term will be automatically billed 
at the commencement of each Renewal Term to the same credit card or billing 
vehicle that You authorized for the initial Enrollment Fee, unless You 
provide us with another credit card or billing vehicle. If we are unable to 
bill to your specified billing vehicle at any time, we reserve the right to 
terminate your Membership. We may change the Enrollment Fee for renewal terms 
from time to time. Member will be notified of the change for the Enrollment 
Fee in his/her monthly/annual Billing Vehicle statement.

Use of Membership: Your Membership is non-transferable. You agree that only 
You and your immediate family members may use the Membership. The term 
"immediate family" shall mean You, your spouse and your children living at 
your home. You will be responsible for all use of your Membership and will 
promptly notify us if You become aware of any unauthorized use of your 
Membership card or Membership Number, or if your Membership card is lost or 
stolen. In such event, however, You will be responsible for all use of your 
Membership number until We have received such notice. You agree to indemnify 
Us and hold Us harmless from and against any claim, loss or liability 
occurring from the violation by You or anyone using your Membership of any 
provision of this Agreement.

Disclaimer or Liability: You acknowledge that the Benefits being provided 
hereunder are being provided by participating vendors who are independent 
from Us and that We shall not be deemed a merchant, vendor, manufacturer or 
supplier of any product or service by You. Each of these Benefits may be 
subject to certain terms, conditions or limitations which may be subject to 
change. Details of the terms, conditions and limitations are set forth in the 
materials provided by the participating vendors. You further agree that We 
are not responsible or liable for any of the Benefits provided by 
participating vendors and shall have no liability to You as a seller of any 
products or vendor services, including without limitation, any liability for 
any defective products or services. We shall not be responsible for any 
errors or omissions in any materials supplied to You by participating 
vendors. You agree that any claims with regard to any of the Membership 
Benefits will be made solely against the participating vendors providing the 
benefit and not against Us. WE MAKE NO WARRANTIES, EXPRESSED OR IMPLIED, 
INLCUDING THE WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE 
WITH RESPECT TO ANY OF THE MEMBERSHIP BENEFITS OR RELATED INFORMATION 
PROVIDED TO YOU. OUR LIABILITY SHALL NOT EXCEED YOUR CURRENT MEMBERSHIP FEE 
AND UNDER NO CIRCUMSTANCES SHALL WE BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL 
OR EXEMPLARY DAMAGES. We assume no responsibility for the payment or 
contribution to any use or sales tax on the Benefits provided, which may be 
imposed by taxing authorities and such taxes to the extent imposed, shall 
remain the sole responsibility of You or the provider of the Benefits as the 
case may be.

Entire Agreement: This Agreement contains all of the Terms of the Membership 
and no representations, inducements, promises or agreements concerning the 
Membership not included in this Agreement shall be effective or enforceable. 
If any of the terms of this Agreement shall become invalid or unenforceable, 
the remaining terms shall not be affected.

Governing Law: This Agreement and the Terms of Membership shall be governed 
and construed in accordance with the laws of the state of Florida. Any 
disputes regarding this Agreement shall be submitted solely to the courts of 
the state of Florida to whose personal jurisdiction you agree to submit. 
However, nothing in this Agreement is intended or shall be construed to 
negate or otherwise affect the consumer protection laws of the state in which 
You reside.

TERMINATION OF MEMBERSHIP: YOU MAY TERMINATE YOUR MEMBERSHIP AT ANY TIME BY 
WRITING TO US AT IMPERIAL HOLIDAYS, TAID DEPARTMENT, 100  2ND AVE SOUTH, 
SUITE 302N, ST. PETERSBURG, FL 33701 OR BY CALLING US AT THE TOLL FREE NUMBER 
IN YOUR MEMBERSHIP GUIDE. IF YOU CANCEL YOUR MEMBERSHIP DURING THE INITIAL 
TERM, YOU WILL, UPON REQUEST, RECEIVE A REFUND OF THE MEMBERSHIP FEE. YOU MAY 
CANCEL YOUR RENEWAL MEMBERSHIP WITHIN 30 DAYS OF THE INITIAL BILLING OF THE 
RENEWAL TERM AT NO COST. IF YOU CANCEL YOUR MEMBERSHIP SUBSEQUENTLY DURING 
ANY RENEWAL TERM, YOU WILL RECEIVE A PRO-RATED REFUND OF THE THEN CURRENT 
ENROLLMENT FEE UPON REQUEST. ALL REFUNDS WILL BE MADE THROUGH A CREDIT TO THE 
BILLING SOURCE ORIGINALLY CHARGED AND WILL APPEAR ON YOUR STATEMENT. ANY FEES 
OR CHARGES INCURRED OTHER THAN THE ENROLLMENT FEE WILL CONTINUE TO BE YOUR 
RESPONSIBILITY.

RESERVATION OF RIGHTS: We reserve the right to eliminate, add, change and 
substitute Benefits and participating vendors without notice to You. We 
further reserve the right to change the terms and conditions of this 
Agreement and any Membership policies at any time without notice. We reserve 
the right to cancel the Membership Program upon written notice and a refund 
of the pro-rated portion of the current term's Membership Fee.

Terms and Conditions
2 for 1 Airfare

1.  The recipient of this certificate is entitled to purchase an adult round 
- trip air ticket at non-restricted full coach fare and receive a 
complimentary ticket.
2.  Travel is allowed between the 64 cities listed in this brochure. 
Itineraries under 500 miles do not qualify for this offer. Actual mileage 
between cities is stated in air miles.
3.  The person whose name appears on the activated registration form must be 
one of the travelers. Both passengers must travel on the exact same itinerary.
4.  All tickets purchased are non-refundable, non-endorsable and 
non-transferable. Changes are permitted, however travel must be within the 
same travel region and meet the minimum advance requirements as stated 
herein. All changes to travel dates after tickets have been issued are 
subject to the change fees imposed by the individual airlines. Change fees 
will apply to both the paid ticket and the complimentary ticket.
5.  Reservations for this program must be made through Capitol Marketing 
only. Airline participa-tion varies from market to market and selection of 
the airline at the complimentary ticket rate is at the sole discretion of 
Imperial Holidays. Imperial Holidays will offer a minimum of one major 
airline for every itinerary offered in this program. Some itineraries will 
offer more airline choices.
6.  All fares quoted will include various applicable taxes, airport passenger 
facility charges, and transaction fees. The complimentary ticket applies to 
the base fare only; taxes, airport passenger facility charges and transaction 
fees are the responsibility of the traveler and will be identical to the 
taxes paid for the first ticket.
7.  Reservations may require a Friday or Saturday night stay. Open tickets, 
open returns and circle trips are not permitted. Stopovers are not allowed.
8.  This offer may not be combined with or applied to other certificates, 
promotion or special offers, including but not limited to upgrades, 
government fares, tour/travel packages, groups, child fares, 
convention/company meetings fares, bereavement, companion fares, senior 
citizen discounts, corporate agreements, student fares,  travel industry 
discounts, frequent flyer programs or any unpublished programs.
9.  Schedules, terms, points of service and fares are subject to change 
without notice. Lower fares may be available in certain markets. Customers 
should consult with our agents to determine the most economical fare for 
their itinerary.
10. The terms and conditions cannot be modified or waived unless authorized 
in writing by a corporate officer of Capitol Marketing.
11. Certificates are non-transferable and void if altered or where prohibited 
by law.
12. Certificates are non-refundable and will not be replaced if expired, 
lost, stolen or destroyed.
13. Certificates are not redeemable for cash and are void if sold for cash or 
other consideration.
14. Capitol Marketing is the final authority on the interpretation of these 
rules.
15. All travel must be completed one year from the date of issue.
16. Blackout Dates: Holiday blackouts may apply.
17. This certificate is valid one year from issue.
18. Reservations require a minimum of 30 days notice from date of receipt of 
travel.

COMPLIMENTARY AIRFARES TERMS & CONDITIONS

Terms and Conditions
Complimentary Airfares

1.  This program entitles you, a family member or friend to receive two 
complimentary  round-trip airline tickets to your vacation destination when 
you obtain your accommodations for a stay at one of the participating hotels, 
resorts condo-miniums. The airline tickets you will be issued are: for 
seating in the coach section of the plane; valid only when used in 
conjunction with the accommodations supplied by our program. The airplane 
tickets issued by our program are special fare class tickets which are 
limited in number for each flight. You will receive frequent flyer mileage 
for most flights provided by us if you are enrolled in the appropriate 
airline program. Your travel consultant can enroll you in a frequent flyer 
program, if you are not already a member.
2.  All of the hotel and condominium hotel rates quoted for your vacation are 
the published regular rates applicable at the time of booking. This program 
requires that you stay a minimum number of nights depending on the hotels or 
resort condominium selected, the dates of your travel and the city from which 
you depart (see 3 below.) No other discounts or promotions may be used in 
conjunction with this program.
3.  Length of Stay: We can arrange vacations for fewer nights than the 
"minimum", as mentioned in paragraph 2 above. There is a surcharge for each 
night less than the "minimum" you choose to stay. Longer than "minimum" stays 
may also  be arranged, with discounts provided for nights above "minimum" 
stays.
4.  Your airline ticket voucher is valid for one vacation which must be 
booked within one year and must be taken within 15 months. The expiration 
date for booking is printed on the Airline Ticket Voucher. Your Airline 
Ticket Voucher/Vacation Request Form will become invalid if your credit card 
company (or bank, does not honor the charge (or check) used to pay for your 
deposit or final payment.
5.  You may book more than one room for this vacation and you are entitled to 
two compli-mentary round-trip airline tickets for each room booked (for which 
you are paying regular adult rates). Each vacation (not each room) must 
include at least one adult traveling with the party.
6.  Your travel consultant will inform you of the charges and conditions for 
others who stay in your room, including your children, and can also book air 
reservations for these additional people. Many resorts allow children to 
share a room with parents at no extra charge, if they use existing bedding. 
Additional room charges, if any, for children staying with you in your room 
will depend on the specific hotel or resort chosen.
7.  Overall, there are few blackout dates. Many hotels and resorts are, 
however, blacked out Christmas, New Year's and/or President's week and some 
are blacked out other major holidays.
8.  All airline tickets and hotel or resort condo-minium reservations are 
based on availability to us at the time of the request. To help you get the 
dates and places you desire, we recommend that you book your trip as far in 
advance as possible.
9.  We pay the United States government tax on the complimentary tickets. You 
are responsible for: all other taxes and fees, such as airport departure and 
landing fees and taxes, custom duties, taxes and fees levied by foreign 
governments, etc; surcharges, gratuities, occupancy and sales taxes and/or 
charges may have to be paid by you directly to the resort upon checkout.
10. Complimentary tickets to Hawaii are to Honolulu. If you go to another 
island, you are responsible for the cost of inter-island air.

PROOF OF CITIZENSHIP: Passport, voter registration card, birth certificate 
with a raised seal, or certificate of naturalization are the acceptable 
documents for U.S. citizens when presented with a photo ID on most Caribbean 
Islands, and in Mexico. Children traveling with a single parent to and from 
Mexico require a notarized letter of permission from the other parent. When 
such a letter is not obtainable, a notarized letter stating why it is not 
obtainable is required. Other foreign destinations, including all of Europe, 
require passports and some require visas. Your travel consultant will provide 
these details when you plan your vacation, however, you are also advised to 
contact the consulate of the country to which you will be traveling for 
specific details or changes in requirements.

rates for inside accommodations. Guests must be 25 years old. Under 21 must

.   Reservations must be made at least 60 days prior to your earliest travel

apply. Traveler is responsible for airfare and port charges.

.   Voluntary changes to your reservations within 35 days of departure will 
require a $25 per person processing fee except for upgrades or additions of

.   Cancellations, up to 45 days prior on 3 night cruises or cruise/hotel comb
inations and 60 days prior on 7 night cruises receive full refund, inside 
these periods, no refund and loss of certificate. Insurance is highly

.   Airfare, hotel accommodations before or after the cruise, additional 
staterooms or upgraded accommodations aboard ship, rental car or transfers, 
are at the guests expense and are available upon request. Parking is 
available at the pier for a nominal daily charge. All are subject to 
availability.

.   Proof of citizenship with a Passport or birth certificate and a driver's 
license is required for passengers.
